Corporations Elections Licensing Securities


Corporations, limited liability companies, and limited partnerships in Georgia are formed by filing with the Corporations Division. Some foreign (out-of-state) entities which do business in Georgia also must file with the Corporations Division. Although the information provided on this site aids in the process of forming a business entity, the question of whether a particular entity should be formed can be complex, so the Corporations Division recommends consultation with an attorney and an accountant. The Corporations Division serves as custodian of the filings and provides copies and certifications of documents. It does not provide legal advice and does not have the authority to intervene in disputes between consumers and businesses, between businesses, or between shareholders, members, officers, or other persons involved in an enterprise.

The Elections Division of the Secretary of State’s Office organizes and oversees all election activity, including voter registration, municipal, state, county, and federal elections. They are responsible for certification of election results as well as certifying the qualification of candidates and preparation of ballots and election forms and materials. The Elections Division provides Great Seal certification for authentication of public documents for foreign use for non-Hague countries. Along with those duties, the Elections Division maintains the Statewide Voter Registration Database to ensure that voter registration lists are current statewide. They are also accountable for investigating election fraud and enforcing state election laws.


The Professional Licensing Boards Division serves as administrative support to the 39 licensing boards housed with our agency. In addition to staffing the board meetings, our agency assists the boards with processing applications for licensure, license renewals and complaints.

Although the Professional Licensing Boards Division of the Secretary of State’s Office provides administrative and clerical support to assist the boards in carrying out their licensing responsibilities, the agency does not directly oversee or direct the actions and decisions of the boards. Determinations regarding licensing qualifications and complaints rest solely with the individual boards. Accordingly, our office does not have the ability to review, modify, or overturn a decision which has been made by any board.

Board members are appointed by the Governor.


The Securities Division of the Secretary of State’s Office is charged with the implementation and enforcement of the Georgia Uniform Securities Act of 2008. The Securities Division registers securities offered or sold in Georgia, oversees firms and individuals selling securities or providing investment advice in Georgia, enforces the Securities Act through criminal, civil and administrative penalties, and promotes investor education.
